1. Accepting these terms
There is no signup form and no box to tick. Genassist creates an account for you the first time you open it, and using Genassist is how you accept these terms. If you do not accept them, stop using Genassist and delete your account. Section 11 says how.
2. What Genassist does
Genassist asks you about your skills, your money, your time and what is in your way. Between 14 and 18 questions, depending on your answers. It then writes you a business plan. We call it a blueprint. In nine sections: the short version, the business, why this for you, a trajectory, startup cost, your first four weeks, your first win, what would make this fail, and the path to your number.
The blueprint is written by a large AI model we do not run ourselves. Your answers are sent to Amazon Web Services, or to OpenRouter where that route is used, so the model can write the plan.
Your answers are saved on our servers as you go, so you can close the app and come back.
What Genassist does not do yet
You may have seen these described elsewhere. None of them work in the product today, and nothing in these terms promises them:
refining a blueprint. Changing a section by asking for the change; - locking a blueprint, and the tasks that would come from it; - a business name, colour palettes, a logo, a website, a custom domain; - research reports, chat with a consultant, a PDF of your blueprint, a phone wallpaper; - a dashboard, levels or XP; - deleting your account from inside the app. Section 11 says what to do instead.
If we build them, we will say so, and these terms will change to cover them.
3. What Genassist is not
Read this section. It is the most important one here.
It is not professional advice. Nothing Genassist produces is legal, tax, accounting, financial, medical or investment advice, and you must not use it as any of those. Where a question needs a professional, Genassist will name the kind of professional and give you the questions to ask them. It will not answer for them.
It does not promise you will earn anything. The numbers in a blueprint are targets worked forward from figures you typed in. They are not a forecast, not a promise, and not a record of what anyone has earned. We do not track what our customers earn and we make no claim about it. What you earn depends on your market, your prices and the work you do.
It does not find you customers. It writes a plan and tells you where to look. It does not supply leads, accounts, outlets or introductions.
It does not send anything for you. Every message, email and piece of outreach it drafts is yours to send yourself. There is no feature that sends outreach and no setting that turns one on.
It is not a lawyer, an accountant or a registrar. It does not check names or logos against any trademark register. Before you file a mark or spend money on a brand, pay a trademark attorney to run a proper search.
4. Your account
We create it for you, silently. The first time you open Genassist it makes an account in the background and stores the credentials on your device. You are not asked for an email address, a password or anything else.
It lives on that device. You cannot attach your own email address to it yet. That has three consequences and you should know all of them:
We hold no email address and no other identifier that could show the account is yours, so we cannot recover it for you. The first name you type at the start is stored as one of your answers; it is not proof of anything and we do not treat it as proof. - If you clear the app's storage, uninstall the app, or lose the device, the account and everything in it is gone. - If you use Genassist in a browser and then on a phone, those are two separate accounts.
One account per person. Do not share access to it. You are responsible for what happens under it.
Age. Genassist is built for adults starting a business. We do not knowingly hold an account for a child. If you tell us a child has one, we will delete it.
5. What it costs
Genassist is free today. There is no way to buy it, in the app or on the web. No paywall exists, and nothing in Genassist charges you.
One thing on genassist.app does ask for a card: the pre-launch founding rate in section 17. It stores a card and charges nothing. Apart from that, anything asking you to pay for Genassist right now is not ours.
Free limits. The free plan includes one blueprint a month. There is also a limit of four refinements per blueprint, which nothing can reach yet because refinement is not built. Limits are rows in a table, not code, so we can change them. If we lower one, we will say so before it applies to you.
When purchasing opens there will be three paid plans, priced in US dollars:
Annual pricing will also be offered. Sales tax may be added or included depending on where you live. The total will be shown before you confirm, and that total is what we take.
Where you buy will change who you buy from. This matters more than it sounds:
If you buy through Apple or Google, their terms govern the purchase, their refund rules apply, and we cannot cancel or refund it for you. We can only tell you where the button is.
6.1 How to cancel
Cancel where you bought, per the table above.
Nobody can buy a subscription today, so today there is nothing to cancel. When purchasing opens on the web, you will be able to cancel by emailing motiondonor@edajent.com. A reply asking to cancel is a cancellation. No form, no phone call, no reason needed.
Cancelling stops the next payment. It does not refund the period you already paid for, unless section 6.2, 6.3 or 6.4 gives you a refund.
6.2 If you are in the UK or the EU
You have 14 days from the day you buy to cancel a subscription and get your money back. That is a statutory right and these terms do not shorten it.
There is one exception, and it only applies if you agree to it. Digital content delivered immediately loses the 14-day right if, before delivery, you expressly ask us to start straight away and acknowledge that doing so ends the right. When paid checkout opens it will ask you for both of those things separately, and it will record what you were shown.
Until checkout asks you for that consent, the full 14 days apply. If a checkout screen ever takes payment without asking, the 14 days apply anyway.
6.3 If you are in Canada
Your provincial consumer protection law applies and these terms do not reduce it. Several provinces give you a right to cancel a contract bought over the internet, usually where the seller did not give you required information before you agreed, or did not send you a copy of the agreement afterwards.
6.4 Refunds
Purchases through Apple or Google are refunded by Apple or Google under their own rules. Ask them.
For anything bought from us on the web, email us and tell us what happened.
If we ever advertise a money-back guarantee, every condition attached to it will appear on the same screen as the guarantee. Not in a footnote, not in here.
7. What you may not do
break the law with it, or use it to help someone else break the law; - attack it, scan it, scrape it, or try to get at other people's data; - resell it, rent it, or run a service for other people on top of it; - reverse engineer it, or try to extract the prompts or models behind it; - put other people's personal information into it; - use it to produce anything designed to deceive, impersonate or defraud; - use it to plan a business in the categories in section 7.1.
We can suspend or close an account that does any of this. Where we can, we will tell you why first.
7.1 What Genassist will not plan for
We do not plan for, and do not suggest, businesses in these areas:
cannabis and CBD · alcohol production · tobacco and vaping · firearms · adult content · gambling and betting · crypto trading and tokens · investment, securities or forex advice · lending, debt collection and credit repair · insurance underwriting · multi-level marketing · supplements sold with health claims · telehealth and clinical services · legal services · immigration consulting · pharmaceuticals · psychedelics · betting tips · academic work for hire · surveillance and data brokerage · counterfeit goods.
This is about licensing walls, banking access and advertising bans, not about disapproval. Software sold to a licensed business in one of these areas is fine. The licensed business itself is not.
The model that writes your blueprint is instructed to decline these rather than plan them. It is an instruction to a model, not a filter in front of one, so treat it as our policy rather than a guarantee about every output. If you get a plan for something on this list, it is a fault, not permission.
8. Your content, and what you let us do with it
You own what you put in and what comes out. Your answers are yours. The blueprint written from them is yours. We claim no ownership of either, and you do not need our permission to use your blueprint however you like, including commercially.
To run the service you give us a licence to your content: worldwide, non-exclusive, royalty-free, and only for as long as we hold the content. It lets us store it, process it, show it back to you, and send it to the AI provider that writes your blueprint. It covers nothing else. It ends when the content is deleted.
We do not sell your content, and we do not train AI models on it. We have no pipeline that could: nothing in Genassist exports your content anywhere except to the provider that writes your blueprint, and back to you.
We do not promise your blueprint is unique. Two people who answer similarly may get similar plans. Nothing here gives you exclusivity over an idea, a phrase or a plan.
9. Software wrote it, so check it before you use it
A blueprint is generated by an AI model. That means it can be wrong. It can invent a figure, a supplier, a rule or a cost. It can be out of date. It does not know anything about your local market that you did not tell it.
Read it before you act on it. It goes out under your name, not ours. Check anything you are about to spend money on, anything you are about to publish, and anything that sounds like a legal or tax requirement. Section 3 applies to every line of it.
10. Availability
Genassist is early software and it is free. We do not promise it will be available, and there is no uptime guarantee.
We may change how it works, take features out, or stop offering it. We may run maintenance without notice. Parts of it depend on other companies. Hosting, databases, AI providers. And when they go down, we go down with them.
If we stop offering Genassist entirely, we will give you notice and a way to get your content out first.
11. Deleting your account
How to ask. Deleting from inside the app is not switched on yet. So: go to https://genassist.app/account-deletion and fill in the form, or email motiondonor@edajent.com. You do not need the app installed.
A person checks the request against the account before anything is deleted, which is why it is not instant. An unauthenticated form that erased an account by email address would let anyone destroy anyone's data.
What gets deleted. Your account, every answer you gave during the intake including the free-text ones, your blueprint, every change you made to it, and any tasks it created.
How long it takes. Once we accept the request we hold the data for 30 days, so you can change your mind. Your account keeps working during those 30 days. That is what makes changing your mind possible. At the end of them the account and the data are destroyed together, and we tell you when it is done.
What survives, and why. Being exact about this matters more than sounding clean:
Usage and cost records. Which features ran, when, what they cost us. Your account identifier is removed from every row. The rows themselves stay, because they are how we keep the service from being drained. - The audit entry recording your deletion. It carries no link to your account. Nothing in Genassist can edit or remove a row in the audit log, and there is no path by which erasing your account could reach it. - The deletion request itself, if you sent it through the web form. It holds the email address you typed and any note you added. Nothing links it to your account, so it survives the account. Tell us and we delete it too. - Payment records, which tax law requires us to keep. Today that means Stripe, because Stripe is the only payment path that exists. They are not linked back to your deleted account. If Apple or Google ever bill you, they hold their own records under their own rules.
Deleting your account does not cancel a subscription. If you have one, cancel it where you bought it. If you gave us a card for the founding offer (section 17), tell us and we delete the card the same day.
12. Our liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law where you live does not let us limit.
We are not liable for decisions you make, or money you spend, on the strength of something Genassist generated. Section 9 is the reason: the output is a draft you check, not advice you rely on. - We are not liable for content or services provided by anyone else that you reach through Genassist.
13. Rights we cannot take away
If you are a consumer, you have rights under the law where you live that these terms cannot reduce. Nothing here affects them.
If a court finds any part of these terms unenforceable where you are, that part drops out and the rest still applies.
14. Which law applies, and where disputes go
These terms are governed by the law of the Province of New Brunswick and the federal laws of Canada that apply in it, and the courts of New Brunswick have jurisdiction. That is where Edajent Limited is.
This does not move your case away from home. If you are a consumer, you keep the mandatory protections of the law where you live and you can bring a claim in your local courts. That is the rule in the EU and the UK, and consumer protection legislation across Canada works the same way.
If you live in Quebec, the Consumer Protection Act applies and you may bring a claim in Quebec.
Before you sue us, email us. Tell us what went wrong and give us 30 days. Most things end there. This is not a condition of your right to go to court.
15. Changes to these terms
We can change these terms. When we do, we will publish the new version here with a new effective date at the top.
If a change materially reduces what you get or increases what you pay, we will tell you before it takes effect.
Be aware of how we can reach you. Genassist does not have your email address, because it never asked for one, and nothing in Genassist sends mail. So today the only reliable place we can give you notice is this page and the app itself. If you gave us your email for the waitlist or the founding offer, we can reach you there too.
Carrying on using Genassist after a change takes effect means you accept it. If you do not, stop using it and delete your account.
16. Privacy
Edajent Limited is the data controller. We are Canadian, so PIPEDA applies. If you are in the UK or the EU, UK GDPR and the GDPR apply to you as well, and we honour them.
Two things worth saying here, because they are easy to miss:
Your intake answers, including free text about money and past failures, go to the AI provider that writes your blueprint. That is Amazon Web Services, or OpenRouter where that route is used. Everything you give Genassist is stored with Supabase, our database provider. - We do not sell your data and we do not train models on it.
Our privacy notice sits at genassist.app/privacy. As published today it describes the waitlist form and the founding rate. A first name, an email address, a hashed IP, and Stripe if you locked the rate. It does not yet describe the app, which is why the two points above are stated here rather than only linked to.
17. The pre-launch founding offer
This section applies only if you locked the founding rate on genassist.app before Genassist opened. It does not apply to anyone else.
Your first month free, then 30% off your plan for as long as the subscription lasts. - Nothing is charged now. Your card is stored by Stripe, not by us. We hold a reference to it, the plan and billing period you chose, and the exact wording you were shown. - The first charge happens when Genassist opens. We will email you at least seven days before it. - Cancel any time by emailing motiondonor@edajent.com. We delete the card the same day, and you do not have to give a reason. Cancel before the first charge and you are charged nothing. - If Genassist has not opened by 30 June 2027, we delete every card on file and nobody is charged anything.
18. If you use Genassist from the App Store or Google Play
These terms are between you and Edajent Limited. Apple and Google are not parties to them.
Apple and Google are not responsible for Genassist, for supporting it, for any claim about it, or for any claim that it infringes someone's rights. All of that is ours. If you have a problem with the app, come to us, not to them.
Apple and its subsidiaries may enforce these terms against you as a third-party beneficiary of them.
19. The rest
These terms are the whole agreement between you and us about Genassist, and they replace anything said before.
If we do not enforce something straight away, we have not given it up.
You may not transfer your rights under these terms. We may transfer ours if we sell or reorganise the business, and we will tell you if that happens.
We are not liable for delays caused by events outside our control.

What the review changed
§2, "change any section by asking for the change, rather than starting again" was false. /Users/motion/Desktop/scale/apps/mobile/app/refine.tsx is an explicit stub whose only body text is "Not built yet. This is the next thing being written.", and /Users/motion/Desktop/scale/apps/mobile/src/api/client.ts exposes only startSession, answer, generate and lock. There is no patch method. The API at apps/marketing/src/app/api/blueprint/patch/route.ts exists and has no caller. Moved to the "does not do yet" list.
§2, "lock the blueprint, which turns the first four weeks into tasks" was false twice over. api.lock has zero call sites anywhere in apps/mobile (grepped), so lock is unreachable; and even when reached, tasksFromWeeks in apps/marketing/src/app/api/blueprint/lock/route.ts skips every week but the first (if (weekNo !== 1) continue), so it is week one, not the first four weeks. Moved to the "does not do yet" list.
§2, "run for us by a third-party provider" was vague to the point of being unverifiable. Named the actual recipients: Bedrock on AWS when AWS credentials are present, OpenRouter otherwise. See packages/ai/src/bootstrap.ts and BEDROCKJOBS in .env.example.
§2. The "does not do yet" list gained refinement, lock, tasks, and in-app account deletion. The last is required because apps/mobile/app/account.tsx renders "Deleting your account from inside the app is not switched on yet" and never calls the deletion route.
§4, "Nothing links the account to you" was too strong. The first name typed at the cold open is written to intakeanswers as coname (apps/marketing/src/app/api/intake/session/route.ts seeds it; apps/mobile/app/intake.tsx line 59 sends it). Rewritten to say we hold no identifier that could prove the account is yours, which is what is actually true.
§5, "If something asks you to pay for Genassist right now, it is not ours" contradicted §17 of the same document. apps/marketing/src/app/founding-actions.ts collects a card on genassist.app through a Stripe SetupIntent whenever foundingOpen() is true. Qualified.
§5, "make four changes to each blueprint" implied a working feature. The row is real (supabase/seed.sql: blueprintpatchesperblueprint, 4, lifetime, free plan) and enforced by checkPlanLimit in packages/ai/src/dispatch.ts, but nothing can reach it. Said so.
§7.1, "When Genassist declines, it will say so plainly and suggest the nearest thing it can plan for" was unverifiable. The safety.restrictedcategory route in packages/ai/src/routing.config.ts has no caller anywhere; public.restrictedcategoryevents has no writer; copy.errors.restrictedCategory in packages/ui/copy.ts is rendered by nothing. The only live control is rule 9 in PROMPTS/blueprint.generate.md, which tells the model to follow a prompt it is never given. And BlueprintSchema requires all nine sections, so a refusal fails validation rather than producing a redirect. Rewritten as a policy statement with the mechanism described honestly.
§11, "Once we action the request, your account stops working" was false. apps/marketing/src/app/api/account/deletion/route.ts inserts a deletionrequests row and nothing else; requireUser in apps/marketing/src/lib/authed.ts never checks deletion status, so the account keeps authenticating. The claim is also self-contradictory with the 30-day cancellation window it sits next to. Rewritten: the account works throughout the 30 days, which is what makes cancelling possible. Note for the owner: apps/marketing/src/app/account-deletion/page.tsx renders the same false sentence and needs the same fix.
§11, "our audit log is append-only by design: nothing can edit or remove a row in it, including us" was true of the rule as originally written and is no longer true of it in general. supabase/migrations/20260828000100appendonlyallowserasure.sql rewrote tgappendonly to permit writes at pgtriggerdepth() > 1, so foreign-key erasure can complete. public.auditlog.actorid has no foreign key to auth.users, so its rows genuinely are untouchable. Narrowed the sentence to that, rather than to the rule.
§11, "A record of any restricted-category request" described data we do not hold. Nothing writes restrictedcategoryevents (same finding as §7.1). Removed from the "what survives" list.
§11. The deletion-request bullet now says it holds the email address you typed. supabase/migrations/20260827000600deletionwebrequests.sql stores email and note; describing it as unlinked without saying what it contains understated it.
§11, "held by Stripe, Apple or Google" overstated. There is no IAP code and no store products (apps/mobile/package.json has no RevenueCat SDK), so Stripe is the only payment record that can exist today. Qualified.
§16, "The privacy notice names them" was false, and it was the most serious error in the document. The published notice is copy.waitlist.privacy in packages/ui/copy.ts (lines 2532-2588), rendered by apps/marketing/src/app/privacy/page.tsx. It covers a first name, an email address, a hashed IP, Stripe and Vercel analytics. It never mentions intake answers, blueprints, device accounts, or any AI provider. Rewrote the section to name the providers here and to describe the notice's real scope. Note for the owner: docs/PRIVACYPOLICY.md and launch/PRIVACY-POLICY.md exist as drafts and are not what /privacy serves.
§17, "Cancel any time by replying to any email from us" was not part of the wording customers agreed to and is not performable. The stored terms in packages/ui/copy.ts line 2317 say "email motiondonor@edajent.com and the card is deleted the same day", and BLOCKERS.md line 309 records that no sender is wired, so nobody has received an email to reply to. Corrected to match the agreed wording exactly. The seven-day notice is left in. It is a promise already made and stored in waitlistsignups.foundingterms. But it needs RESENDAPIKEY and a working sender before launch, which is the same blocker.
§1 FOR COUNSEL note rewritten. The repo can answer the "Ltd vs Limited" discrepancy as a fact, so it is now stated as one with line references, and only the registered name and registration number are left for counsel. Confirmed by grep that no registration number appears anywhere in the repo.
§4 and §14 FOR COUNSEL notes kept, with the repo evidence tightened after verifying it directly: public.profiles has no date-of-birth column, no migration mentions an age gate, and none of the 31 questions in ONBOARDINGFLOW.json asks an age.
Two claims I checked and left alone. §15's "Genassist does not have your email address ... and it does not send mail" is exactly right — device accounts are minted at d-<uuid>@device.genassist.app (apps/marketing/src/app/api/device/session/route.ts), and scripts/send-mail.ts is the only sender in the repo, hand-run, dry by default. §3's "There is no feature that sends outreach and no setting that turns one on" is structurally enforced: EMAILKINDS in packages/platform/src/email/index.ts is a closed set with no to parameter.
One thing the terms cannot fix, flagged for the owner. apps/mobile/app/account.tsx tells users to email support@genassist.app, but apps/marketing/src/lib/site.ts states there is no mail on genassist.app at all and sets CONTACTEMAIL to motiondonor@edajent.com. Anyone following the in-app instruction writes to a dead address. Separately, apps/marketing/src/app/api/account-deletion-request/route.ts carries a header comment claiming it is "Rate limited and Turnstile-gated"; neither is in the code.
